3.3 Payment Obligations
Clients are responsible for making payments according to the agreed schedule and terms outlined in the project contract or statement of work.
4. Intellectual Property Rights
4.1 Client Ownership
Upon full payment, clients retain ownership of custom software developed specifically for their project, excluding any pre-existing intellectual property or third-party components.
4.2 Börje's Tech Property
Börje's Tech retains ownership of all methodologies, processes, know-how, and any pre-existing intellectual property used in delivering services.
4.3 Third-Party Components
Third-party software, libraries, and components remain the property of their respective owners and are subject to their individual license terms.
5. Payment Terms
5.1 Payment Schedule
Payment terms will be specified in individual project contracts. Typically, projects require an initial deposit with remaining payments tied to project milestones.
5.2 Late Payments
Late payments may result in project suspension and additional charges. Interest may be charged on overdue amounts at a rate of 1.5% per month.
5.3 Refund Policy
Refunds are handled on a case-by-case basis. Work completed and delivered cannot typically be refunded, but we will work with clients to resolve any legitimate concerns.
6. Confidentiality
Börje's Tech agrees to maintain the confidentiality of all client information, data, and proprietary materials shared during the course of our engagement. We implement appropriate security measures to protect confidential information.
Clients similarly agree to maintain the confidentiality of any proprietary methodologies, processes, or sensitive information shared by Börje's Tech during the project.
7. Warranties and Disclaimers
7.1 Service Warranty
We warrant that our services will be performed with professional skill and care in accordance with industry standards. We will correct any defects in our work at no additional cost within 30 days of delivery.
7.2 Disclaimer
Except as expressly stated, all services are provided "as is" without warranty of any kind. We disclaim all other warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose.
8. Limitation of Liability
Börje's Tech's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.
9. Termination
9.1 Termination by Client
Clients may terminate projects with written notice. Payment for work completed up to the termination date will be required.
9.2 Termination by Börje's Tech
We may terminate services for non-payment, breach of terms, or if the client fails to provide necessary cooperation or materials.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of The Gambia. Any disputes arising from these Terms or our services shall be resolved through binding arbitration or in the courts of The Gambia.
11. Changes to Terms
Börje's Tech reserves the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services after changes constitutes acceptance of the modified Terms.
